BY ACCESSING OR USING ANY PART OF THE VERUM NETWORK, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE ALL USE OF VERUM NETWORK SERVICES.
IMPORTANT NOTICE REGARDING THE NATURE OF THESE TERMS
These Terms are intended to set out the general framework governing your relationship with Verum Network. Unless a specific provision is expressly stated to be a binding obligation of Verum Network using the word “shall” in the context of a clear and unambiguous duty, no provision of these Terms shall be construed as creating a legally enforceable obligation on the part of Verum Network to take or refrain from taking any particular action. References to what Verum Network “may” do, “aims” to do, “seeks” to do, or “reserves the right” to do are statements of intention or discretionary power only and do not create any duty, obligation, or expectation upon which any party may rely. All discretionary powers and rights reserved to Verum Network throughout these Terms may be exercised or withheld at Verum Network’s sole and absolute discretion without notice, reason, or liability.
1. Definitions
For the purposes of these Terms and Conditions, the following definitions apply:
- “Verum Network,” “Verum,” “we,” “us,” or “our” refers to Verum Network and its associated entities, brands, and operations.
- “Platform” or “Platforms” refers collectively to all channels, services, and properties operated by or on behalf of Verum Network, including but not limited to the website at verumnetwork.com; all official Verum Network accounts and pages on Instagram, Facebook, TikTok, X (formerly Twitter), YouTube, LinkedIn, Snapchat, and any other social media network; all WhatsApp channels, broadcast lists, and messaging groups operated by Verum Network; all email newsletters and subscription services; any mobile applications published by Verum Network; and any other digital property, channel, or service through which Verum Network distributes content, whether now existing or created in the future.
- “Content” refers to all articles, text, graphics, logos, photographs, audio, video, data compilations, social media posts, stories, reels, newsletters, broadcast messages, and any other material published or distributed by Verum Network across any Platform.
- “User,” “you,” or “your” refers to any individual or entity that accesses, views, follows, subscribes to, or otherwise engages with any Verum Network Platform in any capacity.
- “User Content” refers to any material submitted, posted, uploaded, or otherwise contributed by a User to any Verum Network Platform.
- “Third-Party Platforms” refers to social media networks, messaging services, and other external platforms through which Verum Network operates, including but not limited to Meta (Instagram and Facebook), TikTok, X, YouTube, WhatsApp, LinkedIn, and Snapchat.
- “Authorised Representative” refers to any individual accessing or using any Verum Network Platform on behalf of a company, organisation, agency, or other legal entity.
- “State Actor” refers to any government, governmental body, state-affiliated entity, regulatory authority, law enforcement agency, intelligence service, or any individual or organisation acting at the direction or behest of any of the foregoing.
Where these Terms refer to the “Platform” in the singular, this shall be construed as referring to any one or more of the Platforms as applicable in context.
2. Verum Network Representations
For the purposes of maintaining the mutual character of this agreement, Verum Network represents to you that, as of the effective date of these Terms:
- It is an entity with the legal capacity to enter into this agreement
- It has the right to grant the licences described in these Terms in respect of Content it owns or controls
- To the best of its knowledge, the operation of its Platforms does not, as of the effective date, knowingly violate any applicable law in any material respect
- It operates as an independent media organisation and its editorial decisions are not, as of the effective date, subject to the editorial direction of any State Actor or political party
These representations are statements of present fact only, made as of the effective date. They are not warranties, guarantees, or ongoing obligations. They are expressly subject to and qualified by all limitations, disclaimers, and exclusions set out in these Terms, and in particular by the Limitation of Liability provisions. Nothing in this section creates any enforceable duty on Verum Network to maintain any particular standard of operation, accuracy, or conduct. Any change in circumstances after the effective date shall not constitute a breach of these representations.
3. Acceptance of Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and Verum Network governing your access to and use of all Verum Network Platforms and services. These Terms apply regardless of the channel through which you access Verum Network content, including the website, social media platforms, messaging services, newsletters, or any other distribution channel.
By accessing, following, subscribing to, viewing, or engaging with any Verum Network Platform in any manner, you confirm that you have read, understood, and agree to be bound by these Terms. Your continued use of any Platform following any posted modifications to these Terms constitutes your acceptance of those changes.
If you are accessing any Verum Network Platform as an Authorised Representative of a company, organisation, agency, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, “you” and “your” shall refer to that entity. If you do not have such authority, you must not access or use any Verum Network Platform on behalf of that entity. Verum Network accepts no liability arising from any access or use made without proper authorisation.
4. Relationship of the Parties
Nothing in these Terms shall be construed as creating any partnership, joint venture, employment relationship, agency relationship, franchise, or any other form of association between you and Verum Network. You and Verum Network are, at all times, independent parties.
No contributor, freelancer, collaborator, or regular user of any Verum Network Platform shall be deemed an employee, worker, agent, or partner of Verum Network by virtue of their use of or contribution to any Platform, regardless of the frequency, duration, or nature of their engagement. Any individual providing services to Verum Network does so as an independent contractor unless expressly agreed otherwise in a separate written agreement signed by an authorised officer of Verum Network.
5. Press Freedom and Editorial Independence
Verum Network operates as an independent digital media organisation. The provisions of this section set out Verum Network’s editorial principles and its approach to State Actor interference. They are statements of principle and intent and shall not be construed as creating any legally enforceable obligation on Verum Network to take or refrain from taking any particular action in any particular circumstance.
5.1 No Government Direction
No State Actor, government ministry, regulatory authority, political party, or state-affiliated entity has any editorial authority over Verum Network’s Content or publishing decisions. Verum Network does not accept editorial direction from any State Actor except where compelled to do so by a lawful and binding legal order issued by a court of competent jurisdiction. Verum Network reserves the right, in its sole discretion, to publicly report any attempt by a State Actor to interfere with its editorial operations outside of a binding legal process, to the extent permitted by applicable law.
5.2 Resistance to Unlawful Censorship
Verum Network reserves the right, in its sole and absolute discretion, to resist, challenge, or seek legal advice in respect of any demand from a State Actor that it considers to be unlawful, disproportionate, or politically motivated. In exercising this discretion, Verum Network may have regard to internationally recognised press freedom standards, including those reflected in Article 19 of the Universal Declaration of Human Rights and the International Covenant on Civil and Political Rights. Nothing in this clause creates any obligation on Verum Network to challenge any particular demand, to incur any legal costs, or to take any specific action in response to any State Actor demand. Verum Network shall not be liable for any consequences arising from its decision to comply with, challenge, or decline to challenge any State Actor demand.
5.3 Transparency
Verum Network reserves the right, in its sole discretion and to the extent permitted by applicable law, to publish information regarding State Actor interference with its operations. Any such publication is entirely at Verum Network’s discretion and does not constitute an obligation to publish, to publish within any timeframe, or to publish in any particular format or level of detail. Verum Network accepts no liability arising from its decision to publish or not publish any transparency information.
6. Scope of These Terms and Third-Party Platforms
These Terms govern your relationship with Verum Network across all Platforms. However, where Verum Network operates on Third-Party Platforms such as Instagram, Facebook, TikTok, X, YouTube, WhatsApp, LinkedIn, or Snapchat, your use of those platforms is also subject to the terms of service, community guidelines, and privacy policies of the respective Third-Party Platform operator.
Verum Network has no control over the policies, algorithms, content moderation practices, data collection, or availability of any Third-Party Platform. Verum Network shall not be held liable for any action taken by a Third-Party Platform operator, including the removal, restriction, or demonetisation of any Verum Network account or content, whether at the direction of any State Actor or otherwise, or for any changes to the features or accessibility of those platforms.
In the event of any conflict between these Terms and the terms of a Third-Party Platform, the Third-Party Platform’s terms shall govern with respect to your use of that platform, and these Terms shall govern with respect to your relationship with Verum Network.
7. Intellectual Property and Use of Content
All Content published or distributed by Verum Network across any Platform is the exclusive intellectual property of Verum Network or its respective content licensors and is protected under applicable copyright, trademark, and intellectual property laws.
You may not, without prior written permission from Verum Network:
- Reproduce, duplicate, copy, sell, resell, or exploit any Content for commercial purposes
- Distribute, republish, transmit, or publicly display Content in any form or medium, including reposting or reuploading to any platform
- Modify, translate, create derivative works from, or reverse engineer any Content
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- Systematically extract or scrape Content using automated tools or bots without express written consent
Sharing or forwarding Content using the native share functions of Third-Party Platforms is permitted provided the Content is not altered and attribution to Verum Network is preserved. For all other licensing or reproduction enquiries, please contact Verum Network directly.
8. User Responsibilities and Prohibited Conduct
As a condition of your access to any Verum Network Platform, you agree to comply with all applicable laws and regulations. The following prohibited conduct applies across all Platforms:
8.1 Security and Technical Restrictions
- Attempt to gain unauthorized access to any Verum Network system, account, server, database, or connected service
- Introduce viruses, malware, trojans, or any other malicious or disruptive code into any Platform
- Conduct denial-of-service attacks or otherwise impair the functionality of any Platform
- Use automated means to access, scrape, monitor, or copy Content without authorization
8.2 Content and Conduct Restrictions
- Post, share, or distribute content that is false, defamatory, misleading, fraudulent, or harmful
- Engage in harassment, hate speech, or conduct that violates the rights of others
- Impersonate Verum Network, its personnel, contributors, or any third party
- Use any Verum Network Platform for any unlawful purpose
- Exploit any Verum Network WhatsApp group, broadcast list, or messaging channel to distribute unsolicited commercial communications or spam
- Use any Verum Network Platform to facilitate, coordinate, or carry out surveillance, monitoring, or harassment of any individual on behalf of any State Actor
Verum Network reserves the right, in its sole and absolute discretion, to remove, block, report, or permanently ban any User it considers to be in violation of these provisions, without notice and without liability.
9. User-Generated Content
Where any Verum Network Platform permits users to submit, post, upload, comment, or otherwise contribute content (“User Content”), you retain ownership of any intellectual property rights you hold in that User Content.
By submitting User Content to any Verum Network Platform, you grant Verum Network a non-exclusive, worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content across all Platforms, in any media format and through any media channel, without further consent or compensation.
You represent and warrant that:
- You own or have the necessary rights to submit the User Content and to grant the licence above
- Your User Content does not infringe the intellectual property, privacy, or other legal rights of any third party
- Your User Content does not contain material that is unlawful, defamatory, obscene, harmful, or otherwise objectionable
Verum Network has no obligation whatsoever to publish, retain, review, respond to, or act upon any User Content and reserves the right to remove or decline any User Content at its sole and absolute discretion, without notice and without liability.
Verum Network acts as an intermediary platform and does not assume pre-publication editorial responsibility for User Content. Verum Network’s receipt or hosting of User Content does not constitute endorsement, adoption, or approval of that content, and Verum Network shall not be liable for any User Content submitted by any User.
9A. Commissioned, Paid, and Contributor Content
Verum Network may commission, license, or otherwise compensate individuals, contributors, agencies, or third parties for the creation of Content (“Commissioned Content”). Unless expressly agreed otherwise in a separate written agreement signed by an authorised officer of Verum Network:
- Contributors represent and warrant that they own or have all necessary rights to the Content submitted, that it is lawful, and that it does not infringe any third-party rights. Any breach of this representation is the sole liability of the contributor
- Verum Network does not independently verify Commissioned Content and accepts no liability for any inaccuracies, errors, or legal issues arising from it
- Contributors shall indemnify and hold harmless Verum Network from and against all claims, liabilities, damages, costs, and reasonable legal fees actually incurred in defending any such claim, from the point at which a claim is made or threatened, surviving the termination of any contributor arrangement
- Compensation does not constitute endorsement and creates no ongoing obligation on Verum Network
- Verum Network retains full editorial discretion, including the right to decline, edit, retract, or remove any Commissioned Content at any time without notice and without liability
10. Tip Submissions and Source Confidentiality
Users may submit news tips, information, documents, or other materials to Verum Network through any Platform (“Tip Submissions”). Verum Network makes no guarantee of confidentiality in respect of any Tip Submission unless a specific written confidentiality agreement has been separately agreed and signed by an authorised officer of Verum Network. All Tip Submissions are subject to Verum Network’s absolute editorial discretion and Verum Network is under no obligation whatsoever to act upon, publish, investigate, acknowledge, or respond to any Tip Submission.
Verum Network may be compelled to disclose Tip Submission information pursuant to a binding legal order. In such circumstances, Verum Network may, in its sole discretion, seek to assess the legal validity of such demand and disclose only what it determines to be strictly required, but shall not be liable to you for any disclosure made pursuant to a binding legal obligation regardless of the steps taken or not taken. You represent and warrant that any Tip Submission you make does not itself violate any applicable law, confidentiality obligation, or third-party right. Verum Network accepts no liability arising from the receipt, use, or publication of Tip Submissions.
11. Age Restrictions
All Verum Network Platforms are intended for users who are sixteen (16) years of age or older. Users in jurisdictions where the minimum age for digital consent is higher must meet that higher threshold. By accessing any Platform, you represent and warrant that you meet the applicable minimum age requirement in your jurisdiction. Verum Network accepts no liability arising from the access of its Platforms by underage users.
12. Accuracy and Nature of Information
Verum Network is a digital news and media commentary platform. All Content is intended solely for general informational and editorial purposes. Nothing on any Verum Network Platform constitutes, or should be construed as, professional advice of any kind, including legal, financial, medical, or investment advice.
12A. Editorial Standards
Verum Network operates under principles of good-faith journalism. Content may be updated, corrected, or removed at any time at Verum Network’s sole and absolute discretion. Users may draw factual errors to Verum Network’s attention; however, Verum Network is under no obligation whatsoever to act upon, respond to, or implement any correction request in any particular manner, within any particular timeframe, or at all. Verum Network aims to maintain editorial independence from advertisers, sponsors, State Actors, and third parties, which is a statement of principle only and does not create any enforceable obligation.
Verum Network makes no representations or warranties of any kind regarding:
- The completeness, accuracy, reliability, suitability, or availability of any Content
- The timeliness of any information published
- The fitness of any Content for any particular purpose
- The accuracy of any opinions, forecasts, or commentary by contributors or employees
Users must independently verify all information before relying upon it. Verum Network expressly disclaims all liability arising from any reliance on Content published or distributed across any Platform.
13. Cookies and Tracking Technologies
The Verum Network website uses cookies and similar tracking technologies. Further details are set out in our Cookie Policy available on the website. You may adjust your browser settings to refuse cookies at any time. Verum Network accepts no responsibility for any diminished experience resulting from cookie refusal. Where Verum Network operates on Third-Party Platforms, those platforms may independently collect data about your interactions. Verum Network has no control over and accepts no responsibility for the data collection or tracking practices of any Third-Party Platform operator.
14. Data Retention
Verum Network retains user data only for as long as it determines to be necessary for the purposes for which it was collected, or as required by applicable law. Where a user opts out of any Verum Network communication channel, Verum Network may retain such details as it considers necessary to record and honour that preference. Verum Network does not sell or transfer user data to third parties except as necessary to operate the Platforms, as required by law, or as described in Verum Network’s Privacy Policy.
15. Third-Party Links and External Content
Verum Network Platforms may contain hyperlinks to third-party websites or resources. Verum Network has no control over and assumes no responsibility for the content, privacy policies, or conduct of any third-party website. The inclusion of any third-party link does not imply endorsement by Verum Network.
15A. Advertising, Sponsored Content, and Commercial Communications
Verum Network may publish sponsored, paid, or branded content across its Platforms. Where required by applicable law, such content may be identified as commercial or sponsored material. Verum Network does not guarantee the accuracy or fitness for purpose of any sponsored content. Advertisers and sponsors are solely responsible for compliance with applicable laws. Verum Network reserves the right to remove, reject, or withdraw any commercial content at its sole discretion, without notice or liability.
16. Images and Visual Content
Verum Network Platforms may display images sourced from publicly available online resources. Verum Network does not claim ownership of any such third-party images. All third-party images are used in good faith for editorial and informational purposes. Verum Network makes no representation that any such use does not infringe third-party intellectual property rights. If you are the rights holder of any image displayed on a Verum Network Platform and believe its use is not authorised, you may contact Verum Network, which reserves the right to review such requests and take such action as it determines appropriate in its sole discretion. Users who rely on or reuse images distributed by Verum Network do so entirely at their own risk.
17. Copyright Takedown and Notice Procedure
If you believe that any Content on a Verum Network Platform infringes your intellectual property rights, you may submit a takedown notice including: your full name and contact details; a description of the allegedly infringed work; the specific location of the allegedly infringing Content; a statement of good faith belief that the use is unauthorised; a statutory declaration of the accuracy of your notice and your authority to act; and your physical or electronic signature.
Takedown notices may be submitted via the contact details available on verumnetwork.com. Verum Network reserves the right, in its sole discretion, to review, act upon, decline to act upon, or delay action on any takedown notice, and shall not be liable for any decision made in connection with any such notice. Verum Network also reserves the right to remove Content proactively where it determines this to be appropriate.
17A. Counter-Notice Procedure
If you believe Content was removed in error, you may submit a counter-notice including: your full name and contact details; identification of the removed Content; a good faith statement that removal was in error; a statutory declaration of the accuracy of your counter-notice; and your physical or electronic signature. Receipt of a counter-notice does not obligate Verum Network to restore any Content. Verum Network retains absolute discretion over all decisions relating to takedown and counter-notice requests and shall not be liable to any party for any such decision.
18. Limitation of Liability and Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
- ALL VERUM NETWORK PLATFORMS AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
- VERUM EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
- VERUM SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, ANY VERUM NETWORK PLATFORM OR ITS CONTENT.
- THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF VERUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- VERUM NETWORK SHALL NOT BE LIABLE FOR ANY INTERRUPTION, SUSPENSION, REMOVAL, OR TERMINATION OF ANY VERUM NETWORK PLATFORM OR ACCOUNT, WHETHER BY ANY STATE ACTOR, THIRD-PARTY PLATFORM OPERATOR, OR ANY OTHER PARTY ACTING OUTSIDE VERUM NETWORK’S REASONABLE CONTROL.
- VERUM NETWORK SHALL NOT BE LIABLE FOR ANY CONSEQUENCES ARISING FROM ITS DECISION TO COMPLY WITH, CHALLENGE, OR DECLINE TO CHALLENGE ANY DEMAND FROM ANY STATE ACTOR OR REGULATORY AUTHORITY, OR FROM ANY CENSORSHIP, BLOCKING, OR RESTRICTION OF ANY PLATFORM BY ANY STATE ACTOR.
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERUM NETWORK’S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM SHALL BE LIMITED TO THE LOWEST AMOUNT PERMISSIBLE UNDER APPLICABLE LAW. WHERE THE PLATFORM IS ACCESSED FREE OF CHARGE, THIS LIABILITY SHALL BE NOMINAL.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above exclusions shall apply only to the maximum extent permitted by applicable law.
19. Limitation Period for Claims
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF ANY VERUM NETWORK PLATFORM MUST BE FILED WITHIN ONE (1) YEAR AFTER THE DATE ON WHICH THE EVENT GIVING RISE TO SUCH CLAIM FIRST OCCURRED. ANY CLAIM NOT FILED WITHIN THIS PERIOD SHALL BE PERMANENTLY BARRED, REGARDLESS OF ANY STATUTORY LIMITATION PERIOD THAT MIGHT OTHERWISE APPLY.
This limitation period applies to the fullest extent permitted by law. Where applicable law does not permit the contractual limitation of a statutory limitation period, the statutory period shall apply only to the minimum extent required.
20. Indemnification
You agree to indemnify, defend, and hold harmless Verum Network, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms
- Your use of any Verum Network Platform or any Content therein
- Your violation of any third-party rights, including intellectual property or privacy rights
- Any User Content you submit, post, or transmit through any Verum Network Platform
- Any access to or use of any Verum Network Platform made without proper authority on behalf of a company, organisation, or other legal entity
21. Assignment
Verum Network may, at its sole discretion and without your consent, assign, transfer, or delegate any or all of its rights and obligations under these Terms to any affiliate, subsidiary, successor entity, or acquirer, including in connection with any merger, acquisition, corporate restructuring, or sale of assets.
You may not assign, transfer, or delegate any of your rights or obligations under these Terms to any third party without the prior written consent of Verum Network. Any purported assignment by you without such consent shall be null and void.
22. Force Majeure
Verum Network shall not be held liable for any failure or delay in performance arising out of or caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, state-imposed restrictions, censorship orders, regulatory action, cyberattacks, internet or network outages, power failures, pandemics, or the actions of Third-Party Platform operators. In such circumstances, Verum Network’s obligations shall be suspended for the duration of the relevant event. Verum Network may, in its sole discretion, seek to activate alternative distribution channels where primary Platforms are restricted or blocked, but is under no obligation to do so.
23. Sanctions and Restricted Jurisdictions
Verum Network does not knowingly provide services to individuals or entities in jurisdictions subject to comprehensive international sanctions, including those designated by the United Nations Security Council, OFAC, the European Union, or the UK Office of Financial Sanctions Implementation. Users accessing any Verum Network Platform from a sanctioned jurisdiction do so without Verum Network’s knowledge or authorisation, entirely at their own risk, and in potential violation of applicable law. Verum Network accepts no liability arising from any such access and reserves the right to terminate it immediately.
24. Jurisdiction-Specific Legal Rights
Users in certain regions may have rights under local laws that differ from those in these Terms. Verum Network does not waive any such rights but accepts no obligation to identify, administer, or facilitate their exercise beyond what is strictly required by the laws of the jurisdiction in which Verum Network is incorporated. To the extent any local law confers rights that cannot be contractually excluded, those rights shall apply solely to the minimum extent required by that law and shall not expand Verum Network’s obligations or liability beyond that threshold. Nothing in this clause constitutes an acknowledgment that any particular legal framework applies to the relationship between Verum Network and any user. Users accessing any Verum Network Platform from jurisdictions where any part of these Terms is prohibited or inconsistent with local law do so at their own risk.
25. No Waiver
No failure or delay by Verum Network in exercising any right, power, or remedy shall operate as a waiver thereof. 30. Modifications to Terms
Verum Network reserves the right, at its sole discretion, to modify, amend, or replace these Terms at any time. Changes take effect upon posting. Notice may be provided by updating the “Last Updated” date and, where Verum Network considers it appropriate, by providing additional notice via the Platforms. Your continued use of any Verum Network Platform after any modification constitutes binding acceptance of the revised Terms.
31. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the general principles of international commercial law and equity as commonly recognised across common law jurisdictions, without regard to any single jurisdiction’s conflict of law principles.
31.1 Negotiation
Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation. Either party may initiate negotiation by written notice. The parties shall have thirty (30) days from the date of such notice to resolve the dispute.
31.2 Binding Arbitration
If a dispute cannot be resolved through negotiation, it shall be finally resolved by binding arbitration administered by the International Chamber of Commerce (ICC) under the ICC Rules of Arbitration in force at the time of submission. The ICC Court of Arbitration shall determine the seat, having regard to the circumstances of the dispute and the principle of neutrality. The language of arbitration shall be English. The arbitral award shall be final, binding, and enforceable in any court of competent jurisdiction. Each party shall bear its own costs unless the tribunal determines otherwise. Verum Network reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
31.3 Class Action Waiver
ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU IRREVOCABLY WAIVE ANY RIGHT TO BRING, JOIN, OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING AGAINST VERUM NETWORK, WHETHER IN ARBITRATION OR BEFORE ANY COURT OR TRIBUNAL. NO ARBITRATION OR PROCEEDING SHALL BE CONSOLIDATED WITH ANY OTHER WITHOUT THE PRIOR WRITTEN CONSENT OF VERUM NETWORK.
31.4 User’s Local Courts (Fallback)
Where a user is legally unable to participate in ICC arbitration, or where the value of the dispute falls below any applicable arbitration threshold, the user may bring a claim before the courts of their own jurisdiction. Any such claim shall be limited solely to that individual user’s dispute. Verum Network reserves all rights and defences available to it under applicable law.
32. Editorial Opinions and Employee Views
Any opinions, views, analysis, commentary, or statements expressed by employees, contributors, columnists, or any individual associated with any Verum Network Platform are solely those of the respective individual and do not represent the official position, policy, or views of Verum Network as an organisation. This applies across all Platforms. Verum Network shall not be held liable for any such opinions or statements in any capacity.
33. Severability and Entire Agreement
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, such provision shall be severed and the remaining provisions shall continue in full force and effect.
These Terms constitute the entire agreement between you and Verum Network with respect to your use of all Verum Network Platforms and supersede all prior understandings, agreements, representations, and warranties, whether oral or written.
